## Interpretation and Definitions

### Interpretation

The words of which the initial letter is capitalized have meanings defined below. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

### Definitions

For the purposes of these Terms and Conditions:

* **Affiliate** means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

* **Country** refers to: Alberta, Canada

* **Company** (referred to as either "the Company", "We", "Us" or "Our") refers to **AlumaPro Welding & Fabrication Ltd.**, **9638 115 St, Unit 104, Grande Prairie, AB T8V 5W2**.

* **Device** means any device that can access the Service such as a computer, cellphone or digital tablet.

* **Promotions** refer to contests, sweepstakes or other promotions offered through the Service.

* **Service** refers to the **Website** and **all welding, fabrication, shop, and field services** provided by the Company.

* **Terms and Conditions** (also referred to as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company.

* **Third-party Social Media Service** means any services or content provided by a third-party that may be displayed, included or made available by the Service.

* **You** means the individual or legal entity accessing or using the Service.

## Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms.

By accessing or using the Service or engaging our welding/fabrication services, You agree to be bound by these Terms. If You disagree with any part, You may not access the Service or use our services.

You represent that You are over the age of 18. The Company does not permit those under 18 to use the Service or engage services.

## Services

The Company provides **welding, custom fabrication, structural steelwork, repairs, and on-site (field) services** in Alberta, Canada. All work complies with:

* CSA W47.1 / W59 (welding standards)

* Alberta Occupational Health and Safety Act

* Workers’ Compensation Board (WCB) Alberta

* Alberta Safety Codes Act

### Scope of Work

* Services are defined in the **quote, invoice, or Statement of Work (SOW)**.

* Client must provide **safe site access, hazard disclosure, and accurate specifications**.

* Changes to scope require **written approval** (email or signed change order) and may adjust price/timeline.

### Client Responsibilities

* Ensure site is safe and compliant with OHS regulations.

* Provide PPE if required for non-Company personnel.

* Notify Company of underground utilities, asbestos, or hazards **before work begins**.

## Payments

* Invoices are due **net 30 days** from date of issue.

* **Deposits**: 30–50% required for materials-heavy or field projects (non-refundable once materials ordered).

* Late payments accrue **1.5% interest per month**.

* GST applies; receipts provided.

* Payment disputes must be raised **within 10 days** of invoice.

## Warranties

* **Workmanship**: 12 months from completion against defects in welding or fabrication.

* **Materials**: Covered by supplier warranty only.

* **Remedy**: Repair or replace at Company’s option.

* **Exclusions**: Normal wear, misuse, modifications by others, or improper maintenance.

## Limitation of Liability

* The Company’s total liability shall not exceed **the amount paid by You in the 12 months prior to the claim** (minimum CAD $1,000).

* No liability for **indirect, consequential, or punitive damages** (e.g., lost profits, business interruption).

* **Indemnity**: You agree to indemnify and hold harmless the Company from claims arising from Your negligence, site conditions, or third-party actions.

* Company maintains **$2,000,000 general liability insurance**. Client must carry equivalent coverage for field work.

## Safety and Compliance

* All personnel hold valid **CWB welding tickets** and **OHS training**.

* Company conducts **hazard assessments** before field work.

* Client grants **immediate access** and must report hazards.

* **Non-compliance** may result in work stoppage and termination without refund.

## Termination

* **By Company**: Immediate for non-payment, safety breaches, or insolvency.

* **By Client**: 30 days written notice; pay for all completed work and materials.

* Surviving clauses: Payments, Warranties, Liability, Indemnity.

## Force Majeure

Neither party is liable for delays due to acts of God, strikes, supply chain issues, or government restrictions (except payment obligations).

## Promotions

Any Promotions (including the **Monthly Review Raffle**) are governed by separate rules below and our Privacy Policy. In case of conflict, Promotion rules apply.

### Monthly Review Raffle – Specific Rules

The **Monthly Review Raffle** is a Promotion offered by AlumaPro Welding & Fabrication Ltd.

1. **Eligibility**

- Must be 18+ and a resident of Canada.

- Employees and immediate family are ineligible.

- Void where prohibited.

2. **How to Enter**

- Leave a **genuine review** (any rating) on **Google** or **Facebook** using links on your invoice.

- One entry per customer per month.

3. **Entry Period**

- 1st to last day of each month (Mountain Time).

4. **Prize**

- One winner: **CAD $50.00** via e-Transfer.

- Non-transferable.

5. **Winner Selection**

- Random draw by the 7th of the following month.

- Contacted via invoice email within 7 business days.

- Must reply within 5 days with banking info.

6. **Disclosure**

- Reviews must include:

_“I was entered into a random $50 draw for leaving this review. My opinion is my own.”_

- Company does **not** condition prize on positive feedback.

7. **Taxes & Liability**

- Winner responsible for any taxes.

- Entrants release Company from all claims.

8. **General**

- Company may cancel or modify if fraud or issues arise.

- Decisions final.

9. **Privacy**

- Data used only for raffle; per Privacy Policy.

## Intellectual Property

The Service and its original content (excluding Content provided by You) are owned by the Company.

Client owns designs You provide; Company owns tools, jigs, and templates created during work.

## "AS IS" and "AS AVAILABLE" Disclaimer (Website Only)

The **Website** is provided "AS IS" with no warranties. This does **not** apply to welding/fabrication Services (see Warranties above).

## Governing Law

The laws of **Alberta, Canada** govern these Terms, excluding conflicts of law rules.

## Disputes Resolution

Try to resolve informally first by contacting **info@alumapro.ca**.

If unresolved, disputes go to **mediation in Grande Prairie**, then courts of Alberta.

## Severability and Waiver

If any provision is invalid, the rest remains in effect.
